A leading AmLaw 50 firm is seeking a talented Sr. Associate Attorney to join its dynamic Corporate Finance and Securities practice in New York. This is an exceptional opportunity for a seasoned legal professional to advise on sophisticated borrower-side finance transactions in a collaborative and high-performing team environment.
Candidate Profile
- JD from a top-tier law school with an excellent academic record.
- Active Bar Admission in New York, in good standing.
- 7+ years of substantive experiencein borrower-side finance transactions.
- Extensive experience advising borrowers in complex financing arrangements, including syndicated credit facilities, acquisition financings, and leveraged loans.
- Background in representing private equity sponsors, portfolio companies, and corporate borrowers in a wide range of lending transactions.
- Demonstrated ability to manage and lead deal processes from term sheet through closing.
- BigLaw Experience: Familiar with the pace of a top-tier, large New York law firm.
- Soft Skills: Strong drafting, negotiation, and analytical skills. The ideal candidate works well on a team and has an entrepreneurial spirit.
Key Responsibilities
- Transaction Leadership: Serve as lead counsel on borrower-side financing transactions, including acquisition and leveraged financings, refinancings, and recapitalizations.
- Document Negotiation: Draft and negotiate key finance documents such as credit agreements, security agreements, and intercreditor agreements.
- Client Advisory: Provide strategic guidance to borrowers throughout all phases of financing transactions, with a deep understanding of both legal and commercial considerations.
- Deal Management: Oversee deal execution, coordinate with internal and external stakeholders, and ensure timely and efficient closings.
- Mentorship: Support the development of junior associates by providing guidance, feedback, and training on finance-related matters.

Compensation & Benefits
- Highly Competitive Salary: $420,000 – $435,000, commensurate with experience.
