A leading AmLaw 50 firm is seeking a talented mid-senior level Associate Attorney or Special Counsel to join its prestigious Capital Markets & Securities practice. This is an outstanding opportunity for a driven legal professional to advise on complex finance and securities transactions and public company matters within a dynamic and collaborative environment.
Candidate Profile
- JD from a top-tier law school with an excellent academic record.
- Active Bar Admission in New York, in good standing.
- 5–8 years of substantive experience advising on capital markets and securities transactions.
- Securities Law Expertise: In-depth understanding of the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC regulations.
- Corporate Governance: Experience counseling public companies on corporate governance, disclosure obligations, and compliance matters.
- Demonstrated experience advising investment banks, issuers, underwriters, or investors in public and private offerings of debt and equity securities.
- Ability to manage multiple matters in a fast-paced environment with a client-focused, solutions-oriented approach.
- Soft Skills: Strong writing, communication, and interpersonal skills. The ideal candidate works well on a team and has an entrepreneurial spirit.
Key Responsibilities
- Transaction Management: Lead and support capital markets transactions, including IPOs, follow-on offerings, private placements, and Rule 144A offerings.
- Disclosure & Compliance: Advise clients on disclosure obligations, SEC reporting, and stock exchange requirements.
- Public Company Counseling: Provide strategic legal advice on securities law compliance and corporate governance best practices.
- Document Drafting: Prepare and review finance and restructuring documents, offering documents, registration statements, proxy statements, and other securities filings.
- Client Engagement: Develop and maintain strong, trusted relationships with a broad range of clients, from emerging companies to established public corporations.

Compensation & Benefits
- Highly Competitive Salary: $260,000 – $455,000, commensurate with experience.
