    Job Description

    The Assistant General Counsel is responsible for providing legal and other advice in connection with corporate strategic and tactical legal initiatives. The Assistant General Counsel reports to and is supervised by the Corporate General Counsel and provides senior and other management with effective advice on company strategies and their implementation, assists with managing the legal department, and works with and reviews the work of outside counsel and other related experts. The Assistant General Counsel works on governmental investigations and administrative proceedings with a special focus on employment and labor law governmental investigations and administrative proceedings (including without limitation the EEOC, US Department of Labor, the US Department of Justice, the National Labor Relations Board, and other federal and state agencies). The Assistant General Counsel also works on law enforcement matters, intellectual property law matters, employee benefits matters, any matters assigned by the General Counsel, including assisting the General Counsel and/or the Director of Contracts on contractual matters. The Assistant General Counsel also helps in training, policies, handbooks, investigations, and other related matters. Exempt role; Reports to the VP // Corporate General Counsel.

    Functional Requirements:

    • Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all strategic and other initiatives.
    • Serves as a lawyer/legal advisor on certain business transactions, including acquisitions, divestitures, and joint ventures.
    • Assists the General Counsel and/or Director of Contracts on contracts matters.
    • Assesses the merits of major or other court cases, arbitration, or governmental investigations filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.
    • Assists in ensuring that the company conducts its business in compliance with applicable federal, state, and international laws and regulations.
    • Assists in the selection, retention, management and evaluation of outside counsel and experts.
    • This position has supervisory responsibility including the Corporate Paralegal.
    • Perform additional assignments per the General Counsel's direction.

    Qualification Standards:

    • Law degree.
    • Admitted to at least the Louisiana bar.
    • Minimum of ten years' experience in a corporate legal department or law firm environment.
    • Exposure and experience in i.) labor and employment law; ii.) intellectual property rights and associated laws; iii.) working with law firms and other assets in foreign jurisdictions and iv.) (to the extent needed) construction law and the construction industry.
    • Experience working on matters of corporate policies and governance and with a board of directors.
    • Experience managing supervising support staff in a corporation; experience with cost-effective management of outside legal resources.
    • Familiarity and understanding of contracts, employment and labor law, disputes and litigation, regulatory matters, governmental investigations, intellectual property law and other corporate legal matters.
    • Post-offer drug/alcohol screen and physical evaluation.
    • Applicant/employee must not pose a direct threat to the health or safety of others in the workplace.

    Physical Involvement:

    Work Environment Factors:

    • Location: professional office environment; may be required to travel
