Description
Overview:
The Assistant General Counsel will provide support to the General Counsel in protecting the organization's legal interests. The Assistant General Counsel identifies and analyzes legal issues, drafts key documents, presents clear recommendations and assures legal compliance. This position will be responsible for reviewing, editing, drafting, and negotiating commercial agreements including but not limited to sponsored research agreements, development agreements, distribution agreements, commercial supply/vendor agreements, software and other commercial licensing agreements. This position may also be responsible for assisting in compliance matters and corporate governance issues.
Salary $182K to $200K
Responsibilities:
Provide general advice to senior management and other managers on a day to day basis.
Draft, review, analyze, structure and negotiate contracts and internal policies.
Provide advice and guidance for the accomplishment of the overall business objectives of the organization in compliance with applicable laws and regulations and avoidance of unacceptable risks.
Develop a thorough understanding of and familiarity with the organization and its Mission, people, technology, markets, facilities, customers, and competitors in order to identify trends and formulate business and legal structures and strategies accordingly.
Ensure that all activities are conducted in compliance with all applicable legal requirements and internal policies and procedures.
Assists with the preparation of responses to various regulatory inquiries.
Oversee and direct company litigation
Assist on special projects and perform additional duties as assigned.
Some travel to Jessup PA
Qualifications:
Juris Doctor (JD) Required
5-7 years prior experience in tissue banking, medical device or pharmaceutical companies.
Excellent communication skills
Corporate generalist background with healthcare law
Ability to work independently, as well as collaborate with other business unit associates. Excellent attention to detail
Proficiency with computer platforms and applications
