Overview:

The Assistant General Counsel - Legal Affairs will serve as a senior legal leader and trusted advisor to Lutron’s executive leadership team, with ownership for a broad portfolio of corporate, governance, administrative, and international legal matters. In this role, you will provide practical, business-focused counsel across governance, legal entities, board support, M&A, real estate, government matters, enterprise risk, foreign subsidiaries, and legal support for Asia, including India.

 

You will help leaders anticipate risk, navigate complexity, support international growth, and build scalable legal and administrative processes. The successful candidate will bring seasoned legal judgment, critical thinking, a long-term business perspective, and a systems mindset to improve how legal work gets done across a global, technology-driven manufacturing business.

Responsibilities:

Essential Responsibilities

Executive Counseling

  • Serve as a trusted advisor to executive leadership on complex business, governance, enterprise risk, and strategic matters with significant organizational impact.
  • Provide practical legal guidance that balances business objectives, risk mitigation, and Lutron’s values.
  • Counsel senior leaders on strategic initiatives, new products, partnerships, international expansion, corporate transactions, and operational decisions.
  • Prepare clear legal analysis, recommendations, and decision-ready materials for executive audiences.

Legal Entity Governance

  • Oversee legal entity governance, corporate records, and compliance requirements across domestic and international jurisdictions, including foreign subsidiaries.
  • Coordinate with internal stakeholders and outside counsel on entity formation, maintenance, restructuring, and dissolution activities.
  • Identify opportunities to improve governance processes, documentation, records, and operating rhythms as the business grows.

Mergers & Acquisitions

  • Provide legal support for mergers, acquisitions and other strategic corporate transactions.
  • Lead or support due diligence, issue identification, risk assessment, negotiations, and transaction execution.
  • Review, negotiate, and coordinate transaction documents with outside counsel and internal stakeholders.
  • Advise on legal risks, integration considerations, post-closing obligations, and post-acquisition integration activities.

International Legal Support — Asia and India

  • Provide legal guidance supporting business operations across Asia, including India.
  • Advise regional leaders on corporate, commercial, regulatory, governance, and operational legal matters.
  • Coordinate with local outside counsel on cross-border transactions, entity governance, compliance matters, and regional initiatives.
  • Translate complex local legal requirements into clear guidance for business leaders.

Real Estate and Government Matters

  • Advise on real estate matters, including leases, property-related agreements, facilities matters, and related business support.
  • Support government-facing matters, regulatory interactions, public-sector considerations, and related legal issues.
  • Partner with internal stakeholders, outside counsel, and external partners to evaluate risk and manage specialized matters efficiently.

Leadership and Legal Operations

    • Set direction for scalable legal processes, templates, workflows, technology, and governance practices that improve delivery of legal services.
    • Develop policies, procedures, and best practices that enable business growth while supporting appropriate risk management.
    • Manage outside counsel relationships, legal spend, matter strategy, and opportunities to improve how legal work gets done.
Qualifications:

Required

  • Juris Doctor (J.D.) from an accredited law school and active license to practice law in at least one U.S. jurisdiction and the ability to obtain a license in Pennsylvania.
  • Solid foundational legal training, preferably gained through a top-tier or nationally recognized law firm.
  • 10+ years of progressively responsible legal experience, including experience advising executive leadership.
  • Significant corporate experience in a leadership capacity, including supervising attorneys, paralegals, or legal professionals.
  • Experience supporting a technology-oriented business with exposure to manufacturing or industrial environments.
  • Strong business acumen and ability to balance legal risk with practical business objectives.
  • Demonstrated experience managing complex legal matters, outside counsel, and cross-functional stakeholders.
  • Excellent written, verbal, presentation, and executive communication skills.
  • Ability to manage multiple priorities, exercise sound judgment, and operate with discretion on confidential matters.
  • You are authorized to work in the U.S. and will not require Lutron to sponsor you for any work visa, such as an H-1B, either immediately or at any time in the future. Lutron does not offer work visa sponsorship for this position.

Preferred

  • Combination of large law firm and in-house legal experience.
  • Experience with corporate governance, board support, legal entities, international legal matters, M&A, post-acquisition integration, or corporate transactions.
  • Experience working with internationally based teams, particularly in Asia and/or India.
  • Experience with real estate, government, regulatory, or public-sector matters.
  • Familiarity with privately held, global, technology, electronics, manufacturing, or industrial companies.
