Job Summary
The Intellectual Property Transactions IPT Group at Ropes & Gray is seeking associates with 3-5 years of licensing and transactional experience to join our Silicon Valley, San Francisco, Boston, or New York offices. This role is designed for attorneys with a strong interest in technology, software, consumer retail, consumer brands, and media, and who are passionate about advising clients at the intersection of intellectual property innovation and business strategy. Our group specializes in transactions where technology, data, and brand value are key drivers. We advise a broad range of clients from private equity firms, strategic investors, and global market leaders in the technology, software, consumer retail, and media sectors.
Responsibilities
Associates in this position will be expected to:
• Advise clients-including private equity firms, technology, and software companies, consumer brand companies-on transactional matters where intellectual property, technology, and brand assets are central to deal value. • Lead and support complex transactions such as mergers and acquisitions, joint ventures, strategic collaborations, carve-outs, divestitures, and investments involving technology, software, data, and branded consumer products. • Draft, review, and negotiate purchase agreements, IP licenses, assignments, software and cloud services agreements, and trademark arrangements. • Counsel clients on IP and technology issues including artificial intelligence use and deployment in connection with product launches, digital transformation initiatives, e-commerce, advertising, media, and entertainment deals. • Provide practical guidance on trademark, copyright, patent, and data rights, including commercialization strategies and risk assessment for consumer-facing and technology-driven businesses. • Collaborate with multidisciplinary teams to address legal and business challenges in fast-paced sectors such as retail, beauty, food & beverage, health & wellness, software, and emerging technologies, AI, digital health, SaaS, etc.
Required Education, Experience, and Abilities
3-5 years of relevant legal experience in intellectual property transactions, technology licensing, or related practice areas at a leading law firm like Ropes & Gray is preferred. Demonstrated expertise in drafting and negotiating complex license agreements and other commercial agreements involving technology, software, data, and brand assets. Proficiency using AI technologies responsibly and ethically. Superior verbal and written communication skills with the ability to distill complex legal concepts for clients in consumer and technology sectors. Excellent interpersonal and client service skills with a collaborative approach to problem-solving and project management. Ability to thrive in a dynamic, high-volume environment and manage multiple priorities for high-profiled clients.
J.D. degree from an accredited law school or equivalent admission to practice in relevant jurisdictions will be required.
