We are seeking a Corporate and Mergers & Acquisitions Associate to join our dynamic Business Practice Group. This role offers the opportunity to work on sophisticated transactions, including domestic and international mergers, acquisitions, joint ventures, and strategic investments.

Job Details

Responsibilities:
  • Provide legal advice and support on a wide range of corporate legal matters including mergers and acquisitions, joint ventures, investments, securities, tax issues, employment law, private equity, and ESOPs.
  • Draft, review, and negotiate complex commercial agreements and contracts.
  • Conduct thorough legal research and analysis to advise clients on potential legal risks and recommend appropriate legal actions.
  • Represent the firm and its clients in negotiations, disputes, and litigation cases.
  • Collaborate with team members to develop strategies for complex legal issues.
  • Maintain up-to-date knowledge of changes in legislation and case law that may affect our clients.
  • Ensure compliance with local, state, and federal regulations in all business transactions.
  • Develop and maintain strong relationships with clients, providing them with reliable, efficient, and high-quality legal services.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Must be a member in good standing with the state bar.
  • Minimum of 5 years of experience in a law firm or corporate legal department, with a focus on corporate law, including mergers and acquisitions, ventures, investments, securities, tax, employment, private equity, and ESOPs.
  • Proven track record of managing complex corporate transactions.
  • Excellent negotiation, research, and communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and as part of a team.
  • Demonstrated commitment to maintaining confidentiality and exercising discretion.
  • Proficiency in legal research software and Microsoft Office Suite.
  • Capable of managing multiple projects simultaneously while meeting deadlines.
  • High level of professionalism and outstanding business judgment.
