About the Job

The Associate Director of Legal at Glenmark is a key member of the Legal team. In coordination with North America (NA) Commercial and administrative stakeholders, this position executes legal strategies for the US and Canadian markets in order to maximize business opportunities and minimize legal risk. This position is responsible for assisting the General Counsel on all legal matters, including working with the Business Development (BD) group on in-licensing, out-licensing and acquisition transactions, working with the Commercial groups on customer contracts and commercial disputes, working with the Operations group on vendor contracts and disputes, working with the Human Resources group on employment matters, working with outside counsel on various litigations, including antitrust and product liability, advising other internal stakeholders on a variety of legal and regulatory issues, and assisting in other legal matters as necessary.

Job Responsibilities

  • Draft and negotiate non-disclosure agreements.
  • Draft business development agreements, such as term sheets, in-licensing agreements, out-licensing agreements, and acquisition agreements.
  • Draft commercial agreements.
  • Work with stakeholders to resolve partner, commercial and vendor disputes.
  • Work with Human Resources related to, among other things, North America employee policies, employment contracts, and employee disputes.
  • Advise other internal stakeholders, such as Regulatory Affairs, Pharmacovigilance, Finance, and Compliance on a variety of legal and regulatory issues.
  • Work with internal stakeholders and outside counsel on various litigations

Qualifications

Education

  • JD from an ABA-accredited U.S. law school.
  • License to practice in at least one state, preferably a member of the New Jersey bar or eligible to become in-house counsel in New Jersey.

Experience

  • Minimum of 6-8 years of experience at a large U.S. law firm and/or as in-house counsel.
  • Experience drafting, reviewing and negotiating contracts required.
  • Prior pharmaceutical experience strongly preferred.

  • Superior legal and analytical skills with excellent judgment in devising effective solutions.
  • Possess a business-oriented approach to problem solving and a sense of accountability.
  • Excellent written and verbal communication and negotiation skills.
  • Strong interpersonal skills and an ability to stand firm on issues with internal stakeholders when necessary.
  • Possesses a high degree of self-sufficiency, independent judgment and business appreciation all with a view to managing risk in the most cost-effective manner.
  • Ability to work under pressure and prioritize and manage workload, manage simultaneous tasks, and meet deadlines with a dynamic, fast paced environment.
  • Detail-oriented and resourceful with excellent follow-through skills.
  • Demonstrated ability to work as a contributor and collaborator in small teams.
  • High ethical standards and integrity, with a commitment to upholding confidentiality and professionalism with internal and external stakeholders.

Physical Demands and Abilities

  • The incumbent typically works in an office environment and uses a computer, telephone and other office equipment as needed to perform duties.
  • The noise level in the work environment is typical of that of an office.
  • Incumbent may encounter frequent interruptions throughout the workday.
  • The incumbent is regularly required to sit, talk, or hear; frequently required to use repetitive hand motion, handle or feel, and to stand, walk, reach, bend or lift up to 20 pounds.

Compensation and Benefits

Salary Range - $175,000 - $195,000

The compensation range provided reflects the expected base compensation only and does not include potential bonuses, incentive plans, or benefits. An individual's final compensation offer will be based on a variety of factors, including but not limited to education level, relevant experience, training, and geographic location.
