Associate (mid level) sought by Cleary Gottlieb Steen & Hamilton LLP in NY, NY to take responsibility for or managing assigned workstreams on public & private company mergers & acquisitions under partner & Sr. associate supv'n. Draft, revise, & negotiate substantive transaction docs, incl key governance agreements, transitional & post-closing agreements, & discrete sections of principal transaction docs. Reqs JD, LLM or foreign equiv & 2 yrs of exp as an Associate or rltd occupation. Must incl 2 yrs of exp in each of the following: Provide execution support for transaction signings & closings for sophisticated public & private company M&A deals by assisting Sr. team members w/ the prep'n of execution materials & completing post-closing follow-up tasks. Assist w/ coord'n among internal firm teams, incl tax, employee benefits, real estate, & intellectual property groups, in connection w/ corporate transactions, under supv'n. Draft & review ancillary transactional docs, incl signing & closing docs for public & private company mergers & acquisitions, legal memoranda & opinion letters. Assist in representing clients in a variety of corporate transactions & negotiating effectively w/ the counterparty in challenging situations. Advise clients on corporate law issues & assist w/ corporate governance & other general corporate matters. Review corporate governance docs & commercial contracts, incl customer contracts, credit agreements & leases, assist w/ diligence calls, drafting due diligence memoranda & presentation, & provide clients w/ periodic diligence updates. Must be admitted to practice law in the State of NY. The base salary for associate positions is $225,000 - 435,000/yr, depending upon class yr.
