The RoleThe Lateral Associate Attorney will work closely with partners and senior attorneys to provide sophisticated estate planning strategies for individuals, families, and business owners. The ideal candidate will have experience handling client consultations, drafting estate planning documents, managing matters independently, and maintaining strong client relationships.What You'll DoThe essential functions/major responsibilities listed are intended only as illustrations of the various work that may be performed. Duties and responsibilities are also subject to change by the employer as the needs of the firm and requirements of the job change.Estate PlanningParticipating in prospective and existing client appointments, including, without limitation, initial consultations, review & update consultations, design meetings, and executions of documents.Preparing, or learning to prepare, all basic estate planning documents, including, without limitation, revocable living trusts, pour-over wills, advance directives (aka living wills), financial and health care powers of attorney, marital property agreements, real property transfer deeds, design flowcharts, affidavits / certificates of trust, organ donor forms, and other related documents and forms.Preparing, or learning to prepare, advanced estate planning documents, including, without limitation, business entities (corporations, limited partnerships, LLCs, etc.), irrevocable trusts (ILITs, Gifting Trusts, Dynasty Trusts), and charitable planning vehicles (CRTs, CLTs, etc.).Business PlanningReviewing, preparing and coordinating all business formation and governance documents, including, without limitation, articles of incorporation / organization, bylaws / operating agreements, partnership agreements, various corporate contracts, buy-sell agreements, business sales and closing, and other related documents and forms.Providing legal advice to business owners on both general and complex issues that affect businesses, such as income and estate taxation, business transactions, intellectual property rights, corporate governance, mergers and acquisitions, business succession, and related issues.Assisting and advising business owners on the design and implementation of corporate structures, policies, objectives and procedures for business operations.Drafting, reviewing, completing, and filing legal documents related to general business operations.Negotiating contract terms, transactions, and settlements on behalf of businesses and their owners. Research and counseling of business regarding compliance with local, state, federal, and international laws.Tax PlanningReview of documents, including tax returns, to gather information needed for analysis and research on various income and estate tax issues.Preparing, or learning to prepare, critical analysis of transactions or estates to identify opportunities to defer, mitigate, or eliminate taxes (income and estate).Participating in comprehensive case design to identify potential tax solutions and preparation of comparative models to determine final recommendations.Preparing, or learning to prepare, documents related to the implementation of selected tax solutions. Monitoring and maintaining progress of the implementation of various tax solutions.OtherResearch and resolution of legal disputes through the analysis of relevant laws, argument development, evidence collection, and legal representation.Gather, review and organize client data regarding assets, beneficiaries, trustees, agents, other representatives, and disposition provisions.Analyze client and business information as needed to generate flow charts, reports, and recommendations on case design.Manage multiple clients, cases, and legal activities that carry varying deadlines.Assess any opportunities to refer client to affiliated advisors and, if client is agreeable, facilitate introductions between client and advisors.Keep detailed notes of all meetings and phone calls (either electronically or handwritten) and make sure that notes are maintained inside the client file.Meet periodically with the Partners to discuss case status reports, specific client matters, technical questions, and skills development.Supervise support staff, including paralegals, in related practice areas.Serve as Notary Public as required.Performing administrative duties relating to the operational affairs of the firm at the direction of the management team.What We're Looking ForLicensed attorney in Nevada and in good standing4+ years of experience in advance estate planning, LLM, CPA, Asset Protection and Tax experienceStrong drafting, analytical, and communication skillsExperience handling client meetings and managing matters independentlyAbility to explain complex legal concepts in a clear and compassionate mannerHighly organized with strong time management skillsProfessional, team-oriented, and growth-mindedCommitment to providing exceptional client servicePreferred QualificationsExperience with advanced estate planning, contracts, tax techniquesKnowledge of business succession planning strategiesFamiliarity with estate planning and case management softwareExperience working with high-net-worth individuals and families LL.M. in Taxation or related tax planning experience is a plusAttitude / Interpersonal SkillsDemonstrates exceptional business courtesyFriendly, professional, and client-focusedExperienced in required skill set or trainableLoyal to the firmStrong work ethic, punctual, and detail-orientedConfident with numbers and spreadsheetsTeam player, dependable, and reliableSelf-motivated, goal-oriented, and enthusiasticOpen-minded to new systems and processesContributing to firm improvementMaintains a professional image and office environmentFlexible, helpful, and accountable for job performanceBenefits401K retirement planVacation timeHealth benefits paid by the firm (excluding vision)Annual bonus opportunitiesEqual Opportunity EmployerStone Bybee & Associates PLLC is an equal opportunity employer.
