Job Details

We are seeking a Corporate M&A Associate Attorney to join our growing transactional practice. The ideal candidate will have experience representing buyers, sellers, investors, and operating companies in mergers and acquisitions and other strategic business transactions.
This attorney will work closely with partners and clients throughout all phases of transactions, including structuring, due diligence, negotiation, drafting, and closing activities.

Responsibilities
Draft, review, and negotiate acquisition agreements, merger agreements, asset purchase agreements, stock purchase agreements, and related transaction documents.
Conduct and manage legal due diligence reviews and prepare diligence reports.
Assist with transaction structuring and coordination among clients, opposing counsel, and third-party advisors.
Draft ancillary agreements, including employment, consulting, escrow, transition services, and non-compete agreements.
Support private equity investments, recapitalizations, and other strategic transactions.
Manage transaction timelines, data rooms, closing checklists, and closing deliverables.
Provide practical legal advice regarding corporate governance and general business matters.
Develop and maintain strong client relationships through exceptional service and responsiveness.
Collaborate across practice groups, including tax, employment, intellectual property, and litigation teams.


Qualifications
J.D. from an accredited law school.
Active bar admission in at least one U.S. jurisdiction.
3–7 years of experience in corporate transactions and mergers & acquisitions.
Significant experience drafting and negotiating principal transaction documents.
Strong understanding of corporate law, transaction structures, and due diligence processes.
Exceptional analytical, writing, and communication skills.
Ability to manage multiple transactions and competing deadlines.
Strong client-service orientation and business judgment.
Experience representing private equity sponsors, founders, family-owned businesses, or strategic buyers is a plus.
