Position Responsibilities:

Securities Filings, Compliance

• Assist in the preparation and review of SEC filings including Forms 10-K, 10-Q, and 8-K, proxy statements, and Section 16 filings, including coordinating document collection and verification for reports.
• Support compliance with U.S. securities laws, SEC regulations, and stock exchange listing standards.
• Maintain disclosure controls and procedures documentation.
• Track regulatory developments and assist with implementation of new compliance requirements.

• Work closely with finance, accounting, investor relations, and external counsel during filing cycles.

Corporate Governance

• Support preparation of board and committee materials related to securities and disclosure matters.
• Assist with annual shareholder meetings and proxy processes.
• Support internal compliance initiatives and training programs.
• Work with the paralegal to maintain corporate records and governance documentation.

Other

• Draft, review, and negotiate commercial contracts.

Qualifications:

• J.D. from an accredited law school; licensed to practice in Texas or eligible for in-house counsel registration.
• 3–5 years of legal experience, preferably in a public company or law firm serving public clients.
• Strong knowledge of securities law, corporate governance, and general business law.
• Excellent judgment, communication, and organizational skills.
• Ability to work independently and manage multiple priorities.
