Corporate Business & Finance Attorney

Location: Pittsburgh, PA (On-site) Position Objective

A prestigious law firm seeks an experienced attorney for its Business & Finance practice group in Pittsburgh. Working with senior shareholders, you will support commercial clients across general corporate law, M&A, real estate, estates and trusts, and corporate finance.

Key Responsibilities

  • Advise on legal risks, M&A, intellectual property, financial structuring, securities, pre-IPO compliance, ESOP transactions, and strategic planning.

  • Guide clients through IPO processes, manage SEC and public shareholder issues, and conduct due diligence.

  • Draft and negotiate complex commercial contracts, leases, employment agreements, and loan documentation.

  • Handle litigation matters, including drafting pleadings, motions, discovery, and representing clients in proceedings.

  • Author reports, legal opinions, and corporate correspondence while improving internal operating policies.

Qualifications & Attributes

  • J.D. and active Pennsylvania law license.

  • 5–7 years of experience in a law firm, corporation, or government entity.

  • Strong knowledge of federal, state, and local laws with sharp business acumen.

  • Excellent written and verbal communication skills, with proficiency in MS Office.

  • Familiarity with entity formation, corporate governance, and tax considerations is beneficial.
