Compensation

$310,000 – $425,000+

A nationally recognized AmLaw 100 firm is seeking a Capital Markets Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing public companies, issuers, investment banks, private equity sponsors, and institutional investors in sophisticated capital markets and securities transactions.

Ideal Background

4–7 years of capital markets and securities law experience gained at a sophisticated law firm

• Experience representing public companies, issuers, investment banks, underwriters, private equity sponsors, and institutional investors

• Experience handling public and private securities offerings, including equity offerings, debt offerings, convertible securities, Rule 144A offerings, PIPE transactions, and other capital raising transactions

• Experience advising public companies regarding SEC reporting obligations, Securities Act and Exchange Act compliance, corporate governance, disclosure requirements, and stock exchange listing standards

• Experience drafting and negotiating registration statements, offering memoranda, underwriting agreements, purchase agreements, disclosure documents, and other capital markets transaction documents

• Experience supporting mergers and acquisitions, public company transactions, financings, and other strategic corporate matters is preferred

• Strong knowledge of U.S. securities laws, SEC regulations, and NYSE/Nasdaq listing requirements

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently manage sophisticated transactions while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

New York bar admission required or ability to become admitted
