Job Description


A regional financial institution is seeking an accomplished Chief Compliance Officer (CCO) to lead its enterprise compliance function and provide strategic oversight of regulatory risk across the organization.

Reporting into senior risk leadership, the CCO will be responsible for the overall effectiveness of the compliance management framework, with particular emphasis on consumer regulatory compliance, CRA, Fair Lending, privacy, regulatory examinations, monitoring and testing, and compliance governance. The position will also hold designated responsibility for the organization's privacy and CRA programs and play an active role in enterprise ethics initiatives.

BSA/AML is managed through a separate function and is not part of this position's primary remit.

RESPONSIBILITIES

Enterprise Compliance Leadership
  • Set the strategy and direction for the organization's enterprise compliance program.
  • Maintain a comprehensive compliance management framework for identifying, assessing, monitoring, testing, and mitigating regulatory risk.
  • Establish and maintain policies, procedures, controls, and governance standards aligned with applicable banking requirements.
  • Lead enterprise compliance risk assessments and ensure identified risks have appropriate mitigation plans.
  • Monitor regulatory developments and translate new or changing requirements into actionable business requirements.
  • Build a strong compliance culture and provide practical guidance to senior executives and business leaders.

Consumer Compliance & Fair Lending
  • Oversee compliance with applicable consumer financial protection requirements, including UDAAP, TILA, TISA, RESPA, ECOA, FCRA, Fair Lending, and related federal and state requirements.
  • Direct compliance monitoring and testing activities to assess whether controls and business practices are operating effectively.
  • Oversee consumer complaint governance, investigation, escalation, and resolution processes.
  • Evaluate new products, services, business initiatives, and significant changes from a regulatory risk perspective.
  • Review marketing materials and customer communications for consumer compliance and privacy considerations.
  • Analyze lending activity and other relevant data to identify potential Fair Lending concerns and emerging compliance risks.

CRA Leadership
  • Serve as the organization's designated CRA Compliance Officer and provide strategic oversight of the Community Reinvestment Act program.
  • Develop and maintain the organization's approach to CRA performance and regulatory readiness.
  • Monitor lending, community development, and service activity against established CRA objectives.
  • Oversee CRA data, reporting, and required regulatory submissions.
  • Prepare the organization for CRA examinations and coordinate responses to examiner inquiries and findings.
  • Provide senior management and Board-level reporting regarding CRA performance, risks, and strategic objectives.

Privacy Program
  • Serve as the designated Privacy Officer with responsibility for the enterprise privacy framework.
  • Oversee compliance with applicable privacy requirements, including GLBA and relevant state privacy laws.
  • Partner with information security, legal, risk, and business teams on privacy risk assessments and controls.
  • Provide oversight and guidance regarding privacy incidents, escalation procedures, and breach notification requirements.
  • Assess privacy considerations associated with vendors, new products, customer communications, and business initiatives.

Regulatory Relations & Examinations
  • Serve as a senior point of contact for regulators on non-BSA/AML compliance matters.
  • Lead compliance examinations from preparation and information gathering through examiner engagement, responses, findings, and remediation.
  • Coordinate regulatory submissions and required compliance reporting, including applicable HMDA and CRA filings.
  • Track regulatory findings and corrective actions through sustainable closure.
  • Keep executive management and appropriate Board committees informed of regulatory developments and significant compliance matters.

Governance, Reporting & Risk Management
  • Provide regular reporting to senior risk leadership, executive management, management committees, and the Board on compliance risk and program effectiveness.
  • Oversee third-party compliance and privacy risk management activities.
  • Partner with Legal, Risk, Audit, Information Security, and business leadership to strengthen the organization's control environment.
  • Support enterprise ethics initiatives and promote appropriate standards of conduct and decision-making.
  • Maintain appropriate governance for additional regulatory responsibilities assigned to the compliance function.

QUALIFICATIONS
  • Bachelor's degree in Business, Finance, Law, or a related discipline required;advanced degree preferred.
  • 15+ years of progressive compliance experience within banking or financial services.
  • At least 5 years in a senior compliance leadership position, preferably within a regional or community banking environment.
  • Demonstrated experience building, managing, or significantly enhancing a bank-wide compliance program.
  • Deep expertise in consumer compliance, CRA, Fair Lending, and regulatory risk management.
  • Significant CRA experience, including strategic planning, performance evaluation, regulatory examinations, and lending analysis.
  • Strong understanding of federal and state consumer protection and banking regulations.
  • Experience managing regulatory examinations, findings, corrective actions, and senior-level regulator interactions.
  • Strong knowledge of privacy requirements, including GLBA, CCPA/CPRA, incident response, and applicable breach notification requirements.
  • Experience using compliance management, CRA/Fair Lending, and data analytics platforms.
  • Demonstrated ability to analyze lending data, demographic information, compliance trends, and other risk indicators.
  • Strong leadership skills with experience developing teams and influencing stakeholders across business and control functions.
  • Executive-level communication skills and the ability to present complex regulatory matters clearly to senior management and Boards.
  • Strong judgment, integrity, discretion, and the ability to manage multiple priorities in a highly regulated environment.
