A premier global law firm is seeking a Compensation & Benefits Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in advising public companies, private equity sponsors, boards of directors, and executive leadership on sophisticated executive compensation, employee benefits, and transactional matters.

Ideal Background

3–6 years of executive compensation and employee benefits experience gained at a sophisticated law firm

• Experience advising clients regarding equity compensation, executive compensation, retirement plans, health and welfare plans, and employee benefit programs

• Experience supporting mergers & acquisitions, private equity transactions, IPOs, and other corporate transactions through compensation and benefits due diligence

• Experience drafting and negotiating equity incentive plans, executive employment agreements, severance agreements, change-in-control agreements, deferred compensation arrangements, and other executive compensation documents

• Experience advising clients regarding IRC Sections 409A and 280G, executive compensation planning, proxy disclosures, and securities-related compensation matters

• Experience counseling clients on day-to-day compensation and employee benefits compliance

• Strong drafting, analytical, organizational, and communication skills

• Ability to independently manage sophisticated matters while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

New York bar admission required or ability to become admitted
