Job Details

We are seeking an associate to join our corporate practice, working on a broad range of complex transactional matters. This role offers the opportunity to be involved in mergers and acquisitions, venture capital transactions, and general corporate advisory work.
You will play an active role in deal execution, from early-stage structuring and diligence through negotiation and closing. The position provides hands-on experience, direct client interaction, and exposure to sophisticated transactions across a variety of industries, while working closely with experienced attorneys in a collaborative environment.

Responsibilities

Draft, review, and negotiate complex transactional documents for mergers, acquisitions, and financing activities
Support all phases of corporate transactions, including due diligence, structuring, negotiation, and closing
Advise clients on corporate governance matters and general corporate law issues
Assist with venture capital financings and related investment transactions
Manage and coordinate due diligence processes and transaction timelines
Collaborate with internal teams and external stakeholders to execute transactions efficiently
Assist with securities law compliance and related regulatory obligations
Work directly with clients to provide practical, business-oriented legal advice

Qualifications

3 to 6 years of experience in corporate law at a law firm
Experience with mergers and acquisitions and/or venture capital transactions
Strong background in drafting and negotiating transactional documents
Familiarity with securities law compliance and corporate governance matters preferred
Demonstrated ability to manage multiple matters in a transactional environment
Strong academic credentials and law firm training

Requirements

Licensed to practice law and in good standing in at least one U.S. jurisdiction
Excellent drafting, analytical, and problem-solving skills
Strong written and verbal communication abilities
Ability to manage deadlines across multiple active transactions
Detail-oriented with strong organizational skills
Team-oriented mindset with the ability to work independently when needed
