Our client is a well-regarded, boutique transactional law firm in Austin offering a different pace and culture than big law, without sacrificing sophisticated deal work. The firm handles M&A and venture financing matters and is looking for attorneys who've built a strong foundation at a large firm and are ready to practice at a smaller shop with a more collegial, less hierarchical structure, mentorship is built in, and "boss" is more of a team concept than a title.

Who This Role Is For

This role is designed for an attorney who has completed at least one full year at a large law firm and has made the deliberate choice to continue practicing law at a smaller shop, at a different pace.

Ideal candidates already have transactional experience; litigation background does not translate to this role. M&A and/or venture financing experience is preferred, but the firm will consider strong candidates with other transactional experience.

What You'll Do
Work directly on M&A transactions and venture financing deals alongside experienced attorneys, with increasing ownership of deal work as you progress
Draft, review, and negotiate transaction documents (purchase agreements, financing documents, ancillary agreements, disclosure schedules, and related materials)
Conduct due diligence and manage diligence processes for transactions
Communicate directly with clients, opposing counsel, and other deal parties
Collaborate across practice groups rather than working under a single supervising partner, you'll be assigned a mentor, but day-to-day work will involve multiple attorneys across the firm
Take on increasing responsibility for managing deal timelines, closing checklists, and client communication as you gain experience
Participate in business development and client relationship-building over time, particularly as you approach the partnership/of counsel decision point

Qualifications:

J.D. and active license to practice law in Texas (or ability to become licensed)
Minimum of one full year of experience at a large law firm
Transactional experience required; M&A and/or venture financing experience strongly preferred
Strong drafting, negotiation, and communication skills
Ability to manage multiple deals and deadlines simultaneously
Comfortable working in a smaller, less structured environment where initiative and collaboration matter more than formal hierarchy
