Job Details

Responsibilities:

1. Draft, review, and negotiate a wide variety of corporate and commercial agreements, including M&A agreements, financing agreements, shareholder agreements, and other transactional documents.
2. Provide strategic legal advice and support for M&A activities, including due diligence, negotiation, deal structuring, and post-acquisition integration.
3. Assist team in all areas of corporate and commercial law with broad range of technology-focused transactions.
4. Evaluate and research corporate, technology, and regulatory matters.
5. Support the continuous improvement of standard form agreements and legal processes.
6. Conduct technology and data privacy focused due diligence reviews.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school.
2. A minimum of 2 years' experience in a law firm or corporate legal department, with a focus on M&A, commercial law, and contract review.
3. Admission to NY state bar.
4. Strong academic credentials.
5. Exceptional negotiation skills with the ability to resolve complex legal and business issues.
6. Strong knowledge of federal and state corporate laws, regulations, and best practices.
7. Excellent communication skills, both verbal and written, with the ability to communicate complex legal principles clearly and effectively.
8. High degree of professional ethics, integrity, and gravitas.
9. Excellent judgement and analytical skills.
10. Self-motivated and able to work independently, but also comfortable working in a team.
