A respected AmLaw 100 firm is seeking a Corporate Associate Attorney to join its Cleveland office. This opportunity is ideal for an attorney looking to work on sophisticated middle-market private equity and transactional matters within a collaborative and growing corporate platform.
The firm is seeking a team-oriented associate with strong corporate transactional experience who is interested in handling complex business transactions while working closely with partners and clients across a broad range of industries. This role will also provide exposure to the firm's ESOP practice.
The Role
Associates in this position may work on matters involving:
- Middle-market mergers & acquisitions
- Buy-side and sell-side transactions
- Private equity transactions
- Entity formation and corporate governance
- Financing and restructuring matters
- Strategic business transactions and joint ventures
- ESOP-related transactional matters
- General outside counsel advisory work for business clients
Responsibilities may include: - Drafting term sheets and transaction documents
- Conducting due diligence reviews and preparing diligence reports
- Drafting purchase agreements, seller notes, board resolutions, and employment agreements
- Assisting with post-closing matters and transaction integration support
- Advising clients on day-to-day corporate matters and governance issues
Ideal Background
- 4-6 years of corporate and transactional experience
- Experience handling sophisticated M&A and private equity transactions
- Strong drafting, negotiation, and analytical skills
- Ability to manage transactions in a collaborative, fast-paced environment
- Experience with financing and restructuring matters preferred
- ESOP transaction experience is a plus, but not required
- Strong interpersonal and client relationship skills
- JD from an ABA-accredited law school with strong academic credentials
- Ohio Bar admission required or ability to waive in
