A premier global law firm is seeking a Corporate Associate Attorney to join its Washington, DC office.
This opportunity is ideal for an attorney interested in representing innovative technology companies, life sciences companies, venture-backed startups, growth-stage businesses, and institutional investors throughout the full business lifecycle.
• 2–5 years of corporate transactional experience gained at a sophisticated law firm
• Experience representing technology companies, life sciences companies, venture-backed startups, emerging growth companies, founders, venture capital funds, private equity sponsors, and institutional investors
• Experience handling venture capital financings, private equity transactions, mergers & acquisitions, initial public offerings (IPOs), securities matters, and other strategic corporate transactions
• Experience advising clients throughout the full company lifecycle, from formation and financing through growth, acquisitions, and exit transactions
• Experience providing day-to-day corporate counseling, including corporate governance, board matters, equity issuances, commercial matters, and strategic business advice
• Experience drafting and negotiating stock purchase agreements, investor rights agreements, operating agreements, shareholder agreements, merger agreements, financing documents, and other corporate transaction documents
• Strong drafting, negotiation, analytical, organizational, and communication skills
• Ability to independently manage sophisticated transactions while maintaining significant client interaction
• Excellent academic credentials
• J.D. from an ABA-accredited law school required
• DC bar admission required or ability to become admitted
