Direct Counsel is seeking a Corporate Associate to join a premier Projects & Infrastructure practice in New York. This is an exceptional opportunity for an attorney with infrastructure, project finance, and public-private partnership (PPP) experience who is looking to work on complex, high-profile projects across a variety of sectors.

The ideal candidate will have experience negotiating project agreements, infrastructure financings, and PPP transactions, with the ability to manage sophisticated matters involving sponsors, developers, lenders, investors, and governmental entities.

Responsibilities

• Advise clients on complex infrastructure and project development transactions
• Represent sponsors, developers, investors, lenders, and project stakeholders in:
  • Public-private partnership (PPP) transactions
  • Infrastructure development projects
  • Project financings
  • Bond financings
  • Long-term concession arrangements
• Draft and negotiate:
  • Concession agreements
  • Long-term lease agreements
  • Comprehensive agreements
  • Design agreements
  • Construction agreements
  • Operations and maintenance agreements
  • Interface agreements
• Structure and negotiate secured financing transactions, including:
  • Credit agreements
  • Security agreements
  • Pledge agreements
  • Collateral agency agreements
• Assist with bond financings, including:
  • Indentures
  • Bond purchase agreements
  • Disclosure documents
• Coordinate transaction teams and manage deals from development through closing

Qualifications

• J.D. from an accredited law school
• Preferred law school class years 2019–2021 (all qualified experience levels will be considered)
• 4–6 years of relevant projects, infrastructure, or project finance experience
• Experience with public-private partnership (PPP) transactions
• Significant experience drafting and negotiating complex commercial agreements
• Experience with secured financings and project-related financing structures
• Experience with bond financing transactions and related documentation
• Strong drafting, negotiation, and project management skills
• Excellent analytical, organizational, and communication abilities
• Outstanding academic credentials

Preferred Experience

• Concession agreements
• Infrastructure development projects
• Transportation, energy, utility, or public infrastructure projects
• Project finance transactions
• Public sector contracting and procurement matters

Compensation & Benefits

• Salary range: $310,000 – $390,000
