Corporate Associate Attorney – Seattle, WA
Direct Counsel is seeking a Corporate Associate Attorney to join a prestigious Am Law 100 law firm in Seattle.
This is an excellent opportunity for a talented corporate attorney with 2–4 years of experience to work on sophisticated transactions alongside a nationally recognized corporate practice. The ideal candidate will have significant experience handling mergers and acquisitions, venture capital financings, or both, and will be looking to further develop their practice in a collaborative, high-performing environment.
Responsibilities
- Assist with and manage complex corporate transactions, including mergers and acquisitions, venture capital financings, and other strategic business transactions.
- Conduct legal research and analysis to support transaction strategy, structuring, and execution.
- Draft, review, and negotiate transaction documents, corporate governance materials, and related agreements.
- Participate in client meetings, negotiations, due diligence reviews, and transaction closings.
- Build and maintain strong relationships with clients while providing practical business-oriented legal advice.
- Collaborate with attorneys across multiple practice groups to deliver comprehensive solutions to clients.
- Monitor legal and regulatory developments affecting corporate transactions and business operations.
- Contribute to business development initiatives, firm programs, professional organizations, and pro bono efforts.
Qualifications
- J.D. from an accredited law school with a strong academic record.
- Admission to practice law in Washington, or ability to become admitted promptly.
- 2–4 years of corporate transactional experience.
- Experience with mergers and acquisitions and/or venture capital financings.
- Prior experience at an Am Law 100 or similarly sophisticated law firm preferred.
- Excellent drafting, negotiation, analytical, and problem-solving skills.
- Strong written and verbal communication abilities.
- Exceptional organizational skills and attention to detail.
- Ability to manage multiple priorities and deadlines in a fast-paced environment.
- Demonstrated ability to work both independently and collaboratively.

Compensation & Benefits
Expected compensation ranges from $235,000 to $310,000, depending on experience, qualifications, and market factors.
