Corporate Associate - Mergers & Acquisitions

We are working with a well-regarded Am Law firm seeking a mid-level Corporate Associate to join its growing Mergers & Acquisitions practice. This opportunity is available in Connecticut, Florida, Massachusetts, New Jersey, or New York and offers the chance to work on sophisticated transactional matters within a collaborative and highly respected corporate practice.

The group advises a broad range of clients, from emerging companies and privately held businesses to institutional investors and large national enterprises, across a variety of industries. Attorneys in the practice handle complex domestic and cross-border transactions and work closely with clients on strategic business initiatives, growth transactions, and day-to-day corporate counseling matters.

This role is ideal for an attorney seeking meaningful responsibility, direct client interaction, and the opportunity to work closely with experienced practitioners on sophisticated corporate transactions in a supportive, team-oriented environment.

The ideal candidate will have at least 5 years of corporate transactional experience, including substantial experience handling mergers and acquisitions matters. Candidates should have experience representing clients in both buy-side and sell-side transactions and should be comfortable managing transactions through all phases of the deal lifecycle, from initial structuring and term sheet negotiation through closing.

Representative experience may include:

• Mergers and acquisitions
• Private equity transactions
• Venture debt and equity financings
• Strategic joint ventures
• Corporate governance matters
• Capital markets and general corporate transactions

Candidates should also possess strong drafting and negotiation experience involving key transaction documents, including:

• Asset purchase agreements
• Stock purchase agreements
• Merger agreements
• Operating agreements
• Disclosure schedules and ancillary transaction documents

Successful candidates will demonstrate:

• Excellent drafting, analytical, research, and communication skills
• Strong technical and transactional abilities
• Exceptional attention to detail and project management skills
• The ability to independently manage sophisticated transactions while collaborating effectively within a team environment
• Strong client service instincts and business judgment
• Admission in good standing in the jurisdiction where the candidate intends to practice
