Overview
A highly respected law firm is seeking a Corporate Associate Attorney to join its growing New York office. This opportunity is ideal for an attorney who enjoys serving as a trusted business advisor to privately held companies and business owners while handling a broad range of sophisticated corporate matters.
The practice focuses on general corporate counseling, commercial transactions, and middle-market M&A, with an emphasis on advising private clients through day-to-day business operations, strategic transactions, and corporate governance matters.
The firm is seeking someone who enjoys working directly with privately held businesses on practical corporate and transactional matters.
Key Responsibilities
- Advise privately held businesses on a wide range of general corporate matters.
- Draft, review, and negotiate commercial agreements and corporate contracts.
- Handle mergers, acquisitions, asset purchases, and other strategic business transactions.
- Counsel clients on corporate governance, entity formation, and ongoing operational matters.
- Work closely with business owners and executives to provide practical legal solutions.
- Collaborate with partners on sophisticated corporate transactions while managing client relationships.
Qualifications
- J.D. from an accredited law school.
- 5–10+ years of corporate transactional experience
- Active New York Bar admission and in good standing.
- Significant experience in general corporate law and commercial transactions.
- Experience drafting and negotiating a variety of corporate and commercial agreements.
- Experience handling middle-market M&A transactions.
- Strong client counseling, negotiation, and communication skills.
- Ability to independently manage matters while collaborating with partners and clients.
Preferred Experience
- Experience representing privately held companies, entrepreneurs, and closely held businesses.
- Business-minded approach to client counseling.
- Portable book of business is welcomed but not required.
Compensation & Benefits
- Competitive base salary ranging from $175,000–$250,000+, depending on experience.
