Location: Murray, Utah; Austin, Texas, or Frederick, Maryland

About the Position:

North American Management is seeking a Corporate Attorney to provide dedicated legal support to client organizations within its portfolio. This role will serve as a trusted business partner to executive leadership, providing practical legal guidance regarding contracts, corporate governance, risk mitigation, and strategic business initiatives.

The ideal candidate is a business-minded attorney who thrives in a collaborative environment and enjoys working closely with operational leaders to solve problems, manage legal risk, and support company growth.

This role is well-suited for an attorney coming from either a law firm corporate practice or an in-house legal department who is looking to deepen business partnerships and broaden operational involvement.

Key Responsibilities:

Contracts & Commercial Agreements

• Draft, review, negotiate, and manage a variety of commercial agreements, including:
  • Vendor and purchasing agreements
  • Professional services agreements
  • NDAs and confidentiality agreements
  • Construction and development-related agreements
• Provide practical legal guidance on contracting and negotiation strategies, interpretation, and management.
• Identify legal and business risks and propose solutions aligned with operational objectives.

Corporate Governance & Entity Support

• Support corporate governance matters, including organizational documentation and entity maintenance.
• Assist with board resolutions, corporate records, and governance documentation.
• Help ensure compliance with applicable corporate and regulatory requirements.

Business & Strategic Support

• Partner with executive leadership to provide legal guidance on business initiatives and operational decisions.
• Advise internal stakeholders on legal risk, policy interpretation, and business transactions.
• Support due diligence efforts for acquisitions, mergers, restructures, or strategic partnerships.
• Coordinate with external counsel when specialized legal expertise is required.

Risk Management & Compliance

• Identify legal risks across contracts, operations, and business activities.
• Recommend practical solutions that balance legal protection with business objectives.
• Participate in insurance renewal and monitor insurance compliance
• Assist with internal policies, compliance initiatives, and process improvements.

Core Experience Needed

• 5+ years practicing corporate law
• Strong contract drafting, review, and negotiation
• Corporate governance experience
• Entity management and board documentation
• Vendor, subcontractor, and commercial agreements
• Risk mitigation/legal review of business operations
• M&A exposure preferred
• Experience supporting construction, real estate, engineering, or manufacturing industries is a strong plus
