We are seeking a dynamic, experienced and detail-oriented Corporate Attorney to join our thriving legal team. This is an exciting opportunity for a seasoned professional who has a strong background in corporate law and is well-versed in areas such as Due Diligence, Venture Capital Financing, Private Equity, M&A, Financing, Securities, and Real Estate. The successful candidate will be responsible for providing legal advice to our organization, ensuring we operate within the law at all times, enhancing business strategy and effectively negotiating with stakeholders. This role requires a minimum of 5 years of experience in a similar role.

Responsibilities:

1. Provide expert legal support and advice to the company, including drafting, reviewing, and negotiating complex agreements and contracts.
2. Conduct comprehensive due diligence exercises for all business transactions and partnerships.
3. Advise on venture capital financing, private equity, M&A, financing, securities, and real estate matters.
4. Develop company policies and positions on legal issues, ensuring compliance with laws and regulations.
5. Represent the company in legal proceedings, if required.
6. Guide and oversee the work of outside counsel to ensure quality and cost-effective legal support.
7. Collaborate with management to devise efficient defense strategies, while also advising on potential legal risks and mitigation strategies.
8. Stay up-to-date with changes in law and advise management about any impact on the business.

Qualifications:

1. Juris Doctorate degree from an accredited law school is required.
2. Must have a valid license to practice law.
3. Minimum of 5 years of experience as a Corporate Attorney, preferably within the Legal industry.
4. Extensive experience in due diligence, venture capital financing, private equity, M&A, financing, securities, and real estate.
5. Excellent negotiation, communication, and decision-making skills.
6. Ability to provide clear and concise legal advice on complex issues in a fast-paced environment.
7. Strong analytical skills and the ability to think strategically and solve complex problems.
8. Demonstrated ability to work effectively both independently and as part of a team.
9. High degree of professional ethics, integrity, and gravitas.
10. Excellent knowledge of corporate law and procedures.
