This is a fully remote position, open to candidates based in United States.

Pay: $100–$180/hr

Role Title: Corporate Attorney

Role Type: Contractor

Location: Remote (US Only)

We are engaging Corporate Attorneys to contribute their legal expertise to a dynamic customer project. In this role, you'll apply your expertise to help train next-generation AI systems. Your work will shape how models learn, reason, and perform through high-quality, real-world input. No prior experience in AI is required — your domain knowledge is what matters.

Scope of Work

  1. Review and annotate corporate legal documents — merger agreements, stock purchase agreements, operating agreements, bylaws, and financing documents — to support AI model development.
  2. Draft realistic corporate scenarios, deal hypotheticals, and research memos covering M&A, governance, securities, and entity structuring.
  3. Evaluate AI-generated corporate legal content for accuracy, clarity, and consistency with US corporate law, and provide specific corrections.
  4. Contribute to guidelines and quality standards for corporate legal data used in AI training.
  5. Flag ambiguity, risk, and drafting issues the way you would in live deal work, with clear rationale.
  6. Translate complex corporate legal principles into clear, structured formats suitable for model training.

Preferred Qualifications

  1. JD from an accredited US law school.
  2. Active license to practice law in at least one US jurisdiction, in good standing.
  3. 3–10+ years of substantive corporate law experience M&A, securities, corporate governance, commercial contracts, or private financings.
  4. Hands-on experience drafting and negotiating core transactional documents (purchase agreements, financing documents, governance instruments).
  5. US-based practitioner (law firm, in-house, or independent) with demonstrated corporate transactional expertise.
  6. Experience across both buy-side and sell-side M&A.
  7. In-house or general counsel experience at a US company.
  8. Judicial clerkship or law-journal editorial experience.
  9. Experience teaching or training junior attorneys.
