Position Overview

A highly regarded San Francisco law firm is seeking a Junior to Mid-Level Corporate Associate with 2–5 years of solid transactional experience to join its Corporate Group. This is a partnership-track opportunity for an attorney interested in developing a broad and sophisticated corporate practice while working directly with experienced partners and clients.

The Corporate Group handles a wide variety of transactional and counseling matters, including mergers and acquisitions, emerging growth companies, private investment funds, securities law, intellectual property transactions, corporate governance, and general corporate and commercial counseling.

Key Responsibilities

  • Assist with mergers and acquisitions and other sophisticated corporate transactions.
  • Advise emerging growth companies and established businesses on corporate matters.
  • Assist with formation and structuring of private investment funds.
  • Provide securities law counseling and related transactional support.
  • Assist with corporate governance matters.
  • Handle intellectual property transactional matters.
  • Advise clients regarding general corporate and commercial matters.
  • Draft, review, and negotiate corporate and transactional documents.
  • Work directly with partners and clients on complex matters.

Qualifications

  • 2–5 years of solid corporate transactional, M&A, and securities law experience.
  • Strong drafting, legal research, analytical, and communication skills.
  • Experience with one or more of the firm’s core corporate practice areas preferred.
  • Superior academic credentials from a nationally recognized law school preferred.
  • California Bar admission or eligibility to obtain admission required.

Compensation

  • $230,000–$310,000 base salary, depending on experience and other factors.
  • Partnership-track position.
  • Competitive benefits package.
  • 1,850-hour annual billable target, including qualifying pro bono and certain administrative time.
  • Significant bonuses available for associates billing 1,950 hours or more.
