Job Details

Our client, a respected and growing business law firm in Northern Virginia, is seeking a Corporate Transactional Associate Attorney to join its expanding corporate practice.

This position offers the opportunity to work directly with business clients on sophisticated corporate transactions while collaborating with experienced attorneys in a supportive, team-oriented environment. The ideal candidate enjoys handling a variety of business matters and wants meaningful client exposure while continuing to develop their transactional practice.

Responsibilities:
  • Represent clients in mergers and acquisitions, corporate restructurings, and other complex business transactions.
  • Draft, review, and negotiate purchase agreements, commercial contracts, and other transactional documents.
  • Lead and coordinate legal due diligence for acquisitions and corporate transactions.
  • Manage transaction closings from initial planning through post-closing activities.
  • Advise clients on corporate governance and general business law matters.
  • Support capital raises, financing transactions, and entity formation matters.
  • Handle software licensing, technology transactions, and intellectual property agreements.
  • Assist clients with government contracting and employment-related transactional matters.
  • Work collaboratively with attorneys across multiple practice areas to provide comprehensive legal solutions.
  • Maintain direct client communication while delivering high-quality legal work in a timely manner.

Qualifications:
  • J.D. from an accredited law school.
  • Corporate transactional or M&A experience.
  • Experience drafting and negotiating transactional agreements.
  • Strong due diligence and closing management experience.
  • Excellent legal writing, analytical, and communication skills.
  • Ability to manage multiple projects simultaneously.
  • Strong client service orientation.
  • Collaborative mindset with the ability to thrive in a team environment.
  • Active Virginia Bar membership or eligibility for admission.

Compensation:
  • Salary: $125,000–$175,000, depending on experience.
