We're seeking an experienced and dedicated Corporate Attorney to join our progressive law firm. As a vital member of our team, you will be responsible for a broad spectrum of legal activities including acquisitions, divestitures, debt and equity offerings, restructurings, entity formation, and other corporate matters. The successful candidate will have a strong work ethic, excellent judgment, and exceptional partnering skills. Job Details

Responsibilities:

1. Provide legal advice and guidance on a wide range of corporate legal issues.
2. Draft, review, and negotiate a variety of commercial contracts.
3. Manage all aspects of corporate transactions, including acquisitions, divestitures, debt offerings, equity offerings, and restructurings.
4. Assist with entity formation and other corporate matters.
5. Provide proactive legal services to help the company operate in compliance with legal standards and reduce risk of liability.
6. Lead teams in business development training and client service initiatives.
7. Collaborate with colleagues across the firm to ensure a cohesive approach to client services.
8. Conduct thorough legal research and analysis to advise on various legal issues.
9. Prepare and review legal documents to ensure the company's full legal rights.
10. Interact with clients, develop strategies, prepare reports and perform other client services.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school.
2. A minimum of 5 years of experience as a corporate attorney, preferably in a law firm environment.
3. Extensive knowledge of corporate law, contract negotiation, legal writing, and legal compliance.
4. Proven experience with acquisitions, divestitures, debt offerings, equity offerings, restructurings, entity formation, and other corporate matters.
5. Excellent drafting and negotiation skills with a keen attention to detail.
6. Strong capability to independently manage a large number of projects and tasks simultaneously and effectively.
7. Demonstrated ability to lead teams and manage significant responsibilities.
8. Proven track record of providing superior client service.
9. Exceptional interpersonal and communication skills, both written and verbal.
10. High degree of professional ethics, integrity, and gravitas.
11. Must be detail-oriented and have the ability to work autonomously and in a team.
12. Experience in legal research, providing legal advice, preparing legal documents, and resolving legal issues.
13. Strong business acumen and ability to understand business strategy and goals.
