Description
Position Overview
The Corporate Counsel will serve as a trusted legal advisor to the company, providing counsel on a broad range of corporate, commercial, and compliance matters. Reporting directly to the General Counsel, this role requires a business-minded attorney who can balance legal risk with strategic objectives, deliver practical advice, and build strong cross-functional partnerships.
Key Responsibilities
Commercial Contracts: Draft, review, and negotiate a wide range of agreements, including MSA's, customer agreements, NDAs, licensing agreements, and distributor arrangements.
Regulatory & Compliance: Ensure company policies and practices comply with federal, state, and international laws; assist with compliance programs, training, and audits.
Cross-functional Support: Collaborate with business teams-including Finance, HR, Compliance and Operations -to deliver timely, practical legal advice.
Risk Management: Identify and mitigate potential legal risks affecting the business and recommend proactive strategies.
Mergers & Acquisitions: Support due diligence, transaction structuring, and integration of acquisitions as needed.
Employment & HR Support: Provide guidance on employment matters, internal policies, and dispute resolution (in partnership with HR).
Intellectual Property: Oversee protection of company IP, coordinate with external counsel on filings, and advise on IP strategy.
Dispute Resolution: Manage pre-litigation disputes and coordinate with outside counsel on litigation or arbitration.
