Corporate Counsel
Job Summary
Corporate Counsel will assist the General Counsel and legal department in performing the day-to-day legal work of the Company including, without limitation commercial transactions, regulatory and compliance matters, contract disputes, subpoena responses, investigations, intellectual property protection and other legal projects that may arise. This role sits at the intersection of technology, commercial strategy, and healthcare regulation, supporting the licensing, contracting, and compliance work to empower the business and its clients. The Corporate Counsel will collaborate with the business to minimize and mitigate legal risk and work across the back-office departments.
Key Duties
Draft, review, and negotiate a variety of outbound and inbound licensing agreements, including software, data, and intellectual property licenses as well as a full range of technology agreements, including SaaS agreements, software licensing, API terms, data licensing arrangements, and data processing agreements (DPAs).
Review, draft, and negotiate a large variety of contracts including without limitation customer agreements, vendor and supplier contracts, partnership agreements, and confidentiality agreements.
Draft and negotiate business associate agreements (BAAs) and counsel internal stakeholders on the handling of protected health information (PHI)
Advise product and engineering teams on licensing structures, usage rights, and risk allocation as new products and integrations come to market
Advise on healthcare contracts and regulatory requirements applicable to pharmacy technology, including HIPAA compliance
Support the company's broader compliance posture as it relates to pharmacy, health data, and technology regulation
Stay up to date on legal and regulatory issues and best practices
Performs other duties as assigned by General Counsel or management
Education/Training
Juris Doctorate degree from an accredited law school and active member of good standing in one or more jurisdiction within the in the United States
At least 3-5 years professional experience in a law firm and/or inhouse counsel position.
Required Work Experience/Skills
Experience reviewing and negotiating software license and technology agreements
Expert knowledge of commercial transactions and contract review and negotiation
Ability to balance between legal risks and the business needs and provide pragmatic solutions to the business
Ability to work cross functionally with all business units to provide clear, actionable legal guidance
Experience using artificial intelligence to perform legal work or willingness to learn quickly
Contribute to team initiatives, process improvements, and the ongoing development of RedSail's legal function
Excellent verbal and written communication skills
Attention to detail and ability to exercise independent legal judgment
Ability to manage multiple matters at once
Preferred Work Experience/Skills
1-3 year working in an inhouse legal environment
Understanding of labor and employment law
Prior commercial litigation experience preferred

Position is performed in a general office environment, home office, or approved remote workspace where physical work includes, but is not limited to, sitting, standing, reaching, kneeling, bending, and lifting to 25 lbs.

Compensation & Total Rewards
The anticipated base salary range for this position is $118,000-$140,000 annually. This position is also eligible for an annual target bonus of 4%. Actual compensation will be determined based on factors including relevant experience, skills, qualifications, and geographic location.
