Corporate Fund Finance Paralegal

Major, top-tier law firm seeks a proactive and detail-oriented Corporate Paralegal to focus on fund finance transactions for its California offices. Paralegal will assist a high-volume subscription and NAV lending practice and effectively manage numerous simultaneous transactions and closings in a fast-paced, high volume environment. Qualified candidates will have at least 5 years of solid corporate transactional experience handling secured lending documentation and UCC perfection mechanics in a large firm. Prior fund finance transactional experience is a plus. Responsibilities will include but are not limited to managing all aspects of closing and post-closing processes for multiple concurrent fund financings, coordinating lender due diligence and KYC, preparing UCC financing statements, reviewing fund organizational documents, Secretary Certificates and other certificates, drafting and managing corporate documents, due diligence, maintaining calendars and tracking lien filings, notarization coordination, leveraging AI tools, and other duties and special projects as needed. Qualified candidates will have an ABA-approved Paralegal Certificate. A college degree is preferred but not required. This role will require strong interpersonal, communication (written and verbal) and organizational skills, precise attention to detail, and the ability to work overtime as needed. Proficiency with Microsoft Office (Word, Excel, Outlook), Adobe Acrobat, iManage Closing Folders, AI tools, and DocuSign required. Notary Certification is also desired.
