About the Opportunity

We are looking for an experienced Corporate Governance Specialist to support board governance, legal department operations, regulatory coordination, and executive-level records management for a mission-driven financial services organization in Boston.

This role is ideal for someone with experience supporting a Board of Directors, managing board materials and minutes, coordinating committee meetings, handling confidential documents, and working in a regulated environment. The position requires excellent judgment, strong organization, polished communication skills, and the ability to manage sensitive information with discretion.

The role follows a hybrid schedule, with additional onsite time expected during the initial onboarding period.

What You'll Do

  • Support corporate governance activities for the Board of Directors and board-level committees
  • Coordinate regular and special board and committee meetings, including scheduling, logistics, materials, and follow-up
  • Prepare, compile, review, and distribute board and committee meeting materials
  • Draft meeting minutes, action items, resolutions, and related governance documentation
  • Manage board portal activity, including user access, committee setup, content publishing, and document organization
  • Track board attendance, fees, expense reports, director documentation, questionnaires, certifications, and related administrative items
  • Maintain confidential board, executive, and legal records in accordance with retention, privacy, and security requirements
  • Support secure document submissions, regulatory requests, records management processes, and internal/external portal updates
  • Assist with director onboarding and orientation, including schedules, access, accommodations, resources, and meeting-related needs
  • Help coordinate annual governance activities, including director elections, ethics certifications, delegation of authority updates, and required forms
  • Track legal department projects, deadlines, deliverables, commitments, and follow-up items
  • Communicate with internal stakeholders, executive leadership, board members, vendors, and external parties in a professional and confidential manner
  • Support vendor management related to board portal tools, including reviews, renewals, and coordination
  • Prepare reports, presentations, templates, and other materials for leadership, governance meetings, and regulatory purposes
  • Partner with legal, executive, management, and administrative teams to ensure governance processes run smoothly
  • Support occasional travel for board meetings and related governance events as needed

What We're Looking For

  • 2 to 5 or more years of experience in corporate governance, assistant corporate secretary support, board administration, executive administration, legal operations, or a similar role
  • Experience supporting Board of Directors or committee meeting processes
  • Experience drafting or preparing meeting minutes, board materials, resolutions, agendas, or governance documentation
  • Experience with Diligent Boardbooks or a similar board portal strongly preferred
  • Experience working in a regulated industry preferred
  • Financial services, banking, insurance, or similar regulated environment experience preferred
  • Degree in Business Administration, Communications, Legal Studies, or a related field preferred
  • Equivalent relevant experience may be considered
  • Strong Microsoft Office skills, including Outlook, Word, Excel, and PowerPoint
  • Excellent written and verbal communication skills
  • Strong organization, judgment, discretion, and attention to detail
  • Ability to manage multiple priorities, deadlines, stakeholders, and confidential matters
  • Professional presence and strong service orientation when working with leadership and board members

Preferred Experience

  • Prior experience supporting corporate governance in a financial services or regulated environment
  • Familiarity with records retention, secure document management, regulatory submissions, and confidential information protocols
  • Experience coordinating director onboarding, board logistics, committee materials, and governance calendars
  • Familiarity with Power BI, data analytics tools, or artificial intelligence applications is a plus
