Job Details

We are seeking a corporate attorney with experience advising clients on mergers, acquisitions, and other strategic business transactions. This role offers the opportunity to work closely with clients, senior attorneys, and multidisciplinary teams on a variety of sophisticated transactional matters. The ideal candidate is looking for increased responsibility, direct involvement in deal execution, and the opportunity to contribute to complex corporate matters in a collaborative environment.

Responsibilities

  • Assist in the structuring, negotiation, and execution of mergers, acquisitions, investments, and other corporate transactions
  • Draft, review, and negotiate transaction documents and related agreements
  • Conduct and manage legal due diligence processes
  • Advise clients on corporate governance and transactional matters
  • Coordinate with internal and external stakeholders throughout transaction lifecycles
  • Analyze complex legal and business issues and develop practical solutions
  • Support clients in both domestic and cross-border transactional matters
  • Collaborate with attorneys across multiple practice areas to provide comprehensive legal counsel

Qualifications

  • Approximately 2-6 years of corporate transactional experience
  • Significant experience handling mergers and acquisitions and related strategic transactions
  • Exposure to both buy-side and sell-side transactions
  • Experience working on complex transaction structures and corporate matters
  • Strong drafting, negotiation, analytical, and communication skills
  • Ability to effectively manage multiple matters and competing deadlines
  • Demonstrated commitment to client service and teamwork

Requirements

  • Active bar admission in the state in which you are sitting or ability to obtain admission as required
  • Strong academic credentials
  • Excellent written and verbal communication abilities
  • Exceptional attention to detail and sound business judgment
  • Proven ability to work independently while collaborating as part of a team
  • Desire to assume increasing responsibility and client-facing responsibilities
