Job Details

Responsibilities:

1. Advising clients on a broad range of corporate and M&A matters, including public and private mergers, acquisitions, divestitures, joint ventures, and strategic alliances.
2. Assisting in the negotiation and drafting of transaction documents, including acquisition agreements, shareholder agreements, and other related legal documents.
3. Conducting thorough due diligence investigations to identify potential legal risks and issues.
4. Advising clients on securities law matters, including compliance with federal securities laws and regulations.
5. Coordinating with other legal professionals within the firm to provide comprehensive legal advice to clients.
6. Participating in business development activities to build and maintain client relationships.
7. Staying updated with the latest developments in corporate and securities law to provide informed legal advice.

Qualifications:

1. A Juris Doctor degree from an accredited law school.
2. Admission to the state bar.
3. A minimum of 3 years of experience in corporate law, with a focus on mergers and acquisitions.
4. Experience in securities law is a plus
5. Exceptional negotiation and drafting skills, with a keen eye for detail.
6. Strong analytical and problem-solving skills, with the ability to provide practical and strategic legal advice.
7. Excellent communication skills, both written and verbal, with the ability to effectively communicate complex legal concepts to clients.
8. A strong work ethic, with the ability to manage multiple tasks and deadlines in a fast-paced, high-pressure environment.
9. A commitment to maintaining the highest standards of professional ethics and integrity.
