This role is ideal for someone with at least three recent and tenured years of corporate/transactional experience in a U.S. law firm who enjoys complex deal work, maintains strong organizational discipline, and can manage multiple concurrent matters. The firm offers a collaborative environment, competitive compensation, eligibility for a year-end discretionary bonus, and a monthly parking allowance.Primary ResponsibilitiesPrepare, draft, and file organizational and transactional documents, including entity formation paperwork, amendments, withdrawals, dissolutions, and related state filingsMaintain corporate records, including minute books, stock ledgers, governance documents, and internal databasesDraft resolutions, written consents, officer and secretary certificates, and other corporate governance materialsObtain EINs and prepare associated IRS forms; support regulatory and jurisdictional researchCoordinate with service providers regarding registered agent matters, state submissions, compliance tracking, and document retrievalAssist with due diligence by ordering and summarizing lien, litigation, and bankruptcy searchesSupport attorneys through all stages of closings, including signature page management, document organization, checklists, completing post-closing tasks, and assembling closing bindersPrepare UCC filings, amendments, and terminations; research state requirements for entity qualifications and complianceManage multiple time-sensitive assignments with strong accuracy, attention to detail, and follow‑throughCommunicate effectively with attorneys, clients, vendors, and third‑party service providersIdentify and resolve filing issues, good‑standing concerns, document inconsistencies, and other procedural challengesMaintain calendars, deadlines, and internal documentation for active matters and ongoing transactional workRequired Minimum Qualifications3+ years of recent and continuous corporate/transactional paralegal experience in a U.S. law firmStrong background in entity formation, corporate filings, corporate governance, and M&A supportAbility to manage multiple priorities in a fast‑paced environmentExcellent writing, organizational, and follow‑through skillsProficiency with Microsoft Office and standard legal practice technologiesPreferred QualificationsBachelor's degree or equivalent professional experienceParalegal certificate or formal paralegal trainingExperience supporting multi‑jurisdictional entity workAdditional InformationThis is a fully onsite role located in Uptown CharlotteAfter a successful onboarding period, employees may work remotely one day per weekThe position is full‑time with standard business hours; occasional extended hours may be required during peak transactional periodsThe firm provides a monthly parking stipend to assist with parking costsDepending on the specific client, location, and role, the benefits may include PTO, medical, dental, vision, term life and AD&D insurance, short‑term disability and long‑term disability, additional voluntary benefits, EAP program, commuter benefits, wellness plans, and a 401k plan or a non‑qualified deferred compensation plan.
