This hands‑on role supports legal operations, corporate governance, and compliance during a critical phase of organizational growth. The ideal candidate will have extensive experience organizing, maintaining, and executing non‑disclosure agreements.Key ResponsibilitiesCorporate Governance & Board SupportPrepare and maintain corporate records, including board minutes, resolutions, written consents, and committee documentationCoordinate board and shareholder meetings, including scheduling, materials preparation, and follow‑upsMaintain corporate minute books, governance records, and organizational documentsEquity & Corporate ComplianceAssist in administration of equity programs, including stock option grants, vesting schedules, and cap table updatesSupport 409A valuation processes and equity‑related board approvalsIP & Contract AdministrationOrganize, maintain, execute legal documents, contracts, NDAs, and agreementsSupport IP administrative functions alongside outside patent counsel, including patent docket maintenance and filing coordinationAssist with indemnification agreements, officer and director documentation, and related corporate recordsLegal & Operational SupportSupport due diligence efforts related to financing and corporate transactionsTrack key corporate deadlines and compliance requirements across multiple workstreamsAssist with special projects related to corporate structuring and operational scalingQualificationsBachelor's degree or Paralegal Certificate required3-6+ years of experience in corporate paralegal or legal operations, preferably in a high‑growth environmentExperience supporting corporate governance and board processesProficiency in MS Office and SharePoint; familiarity with data room platforms a plusHigh level of discretion, exceptional attention to detail, and ability to manage multiple prioritiesPreferred ExperienceExperience with equity administration, cap table management, and 409A processesBackground in startup, deep tech, energy, biotech, or technology environmentsExposure to IP‑heavy organizations and coordination with patent counselPure Lithium is an equal opportunity employer committed to unlocking innovation and achieving its mission with diverse backgrounds, perspectives, and experiences.#J-18808-Ljbffr
