A global organization is seeking an experienced Lead Corporate Governance Paralegal to join its Corporate Law Department. This is a highly visible role supporting corporate governance, entity management, regulatory compliance, and board activities across a large portfolio of domestic and international legal entities.This opportunity is ideal for a corporate paralegal who thrives in a sophisticated legal environment, enjoys working independently, and has a strong background in governance, subsidiary management, corporate records, and regulatory filings.Key ResponsibilitiesManage governance and corporate secretarial activities for numerous domestic and international subsidiaries.Prepare board minutes, written consents, resolutions, and governance documentation.Coordinate entity formations, mergers, dissolutions, qualifications, withdrawals, and annual filings.Maintain corporate records, minute books, organizational charts, and governance databases.Ensure entities remain in good standing across multiple jurisdictions.Support quarterly and annual reporting requirements.Collaborate with internal stakeholders, outside service providers, and foreign corporate secretarial teams.Manage relationships with registered agents and regulatory agencies.Track governance deadlines and maintain compliance calendars.Respond to requests for corporate records and governance documentation.Qualifications6+ years of corporate paralegal or corporate governance experience.Strong experience with entity management and corporate records administration.Experience handling Secretary of State filings, annual reports, mergers, acquisitions, and subsidiary governance.Background supporting large corporate legal departments or major law firms preferred.Advanced proficiency with Microsoft Office, including Excel and PowerPoint.Experience with entity management platforms such as hCue, Entity Pro, or similar systems.Exceptional organizational skills and attention to detail.Ability to work independently with minimal supervision.Strong written and verbal communication skills.Medical, dental, and vision coverage beginning on date of hire401(k) with company matchGenerous PTO packageIf you have a strong corporate governance background and enjoy ownership of complex entity management responsibilities, APPLY HERE .#J-18808-Ljbffr
