Description
Our client, a corporate law firm, is seeking an experienced Corporate Paralegal for a contract engagement in New York. This role supports attorneys on mergers and acquisitions, corporate governance matters, and general business transactions for a roster of middle-market and enterprise clients.
The paralegal will manage due diligence processes, prepare closing documents, and maintain corporate records across multiple active deals. This position requires strong organizational skills and the ability to work directly with attorneys, clients, and outside counsel under deadline pressure.
This is a full-time on-site contract role based in the firm's Midtown Manhattan office, with potential for extension based on business needs and performance.
Responsibilities
Draft and review corporate formation and governance documents
Coordinate due diligence for mergers, acquisitions, and financing transactions
Prepare closing checklists and manage document execution
Maintain minute books and corporate entity records
Assist with UCC filings and state qualification filings
Communicate with clients, transfer agents, and outside counsel
Support attorneys with contract review and redlining
Organize and manage virtual data rooms
Requirements
5 or more years of corporate paralegal experience at a law firm
Bachelor's degree or paralegal certificate required
Experience supporting M&A and corporate transactional work
Proficiency with document management systems and virtual data rooms
Strong knowledge of Delaware and New York corporate law procedures
Excellent written and verbal communication skills
Ability to manage multiple deadlines across concurrent matters
High attention to detail and discretion with confidential information
