Corporate Paralegal

A leading law firm in New York is seeking a skilled Corporate Paralegal to provide support on corporate maintenance and complex transactions for private and public company clients. This is a great opportunity for a detail-oriented professional to grow their transactional paralegal career in a collaborative law firm environment.

What You’ll Do:

• Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents.

• Coordinate closings and prepare transaction documents.

• Draft and file corporate and securities filings and assemble legal opinions with back-up documentation.

• Organize corporate records, maintain capitalization tables and stock certificates, and conduct due diligence reviews.

• Research Blue Sky issues and prepare required filings.

• Provide training and guidance to case assistants and junior paralegals.

• Perform additional tasks as assigned to support attorneys and the corporate team.

What You’ll Bring:

• Bachelor’s degree required.

• 3+ years of transactional experience in Private Equity, Capital Markets, or M&A preferred.

• Proficiency in Microsoft Office, advanced Excel knowledge preferred.

• Strong organizational skills, attention to detail, and ability to handle multiple priorities.

• Ability to maintain confidential information with discretion.

• Familiarity with Carta, Shareworks, or similar equity tracking systems is a plus.

• Law firm experience preferred; available to work overtime as required.
