Reports To: Director, Mergers & AcquisitionsSpan of Control: No direct reportsJob ResponsibilitiesCorporate TransactionsSupport mergers, acquisitions, joint ventures, and strategic transactions as neededCoordinate diligence materials and manage data roomsAssist with closing processes, including execution and document organizationTrack post-closing obligations and integration follow-upAssist with financing transactions, including debt issuances and credit agreementsBusiness & Operational SupportProvide legal support to business teams on routine corporate mattersAssist with contract organization, tracking, and administrative processesSupport cross-functional legal projects and process improvementsSEC & Public Company ReportingAssist with preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8‑K, and proxy statementsMaintain disclosure support materials and backup documentationSupport Section 16 filings and insider transaction reportingCoordinate signatures, EDGAR filings, and document retentionRole Scope & FlexibilityThis role is designed to provide broad exposure across corporate legal activities and to evolve with the needs of the business and responsibilities may shift over timeJob RequirementsMinimum QualificationsMinimum of 5 years of experience in a corporate legal department or law firm, with exposure to corporate governance, securities reporting, and/or transactional workKnowledge, Skills & AbilitiesTeam player and self-motivated with strong project management and follow-up skillsAbility to work cross-functionally with corporate function and business teamsFlexible and able to prioritize in accordance with changing needs and time constraintsProven drafting, proofreading and editing skills, with strong attention to detailProven ability to work independently and multi-task in a fast-paced environmentOpenness to learn and leverage technological solutionsDemonstrated learning agility and intellectual curiosity to explore new areas of corporate law and business operationsExcellent problem solving and analytic abilityStrong judgment and ability to escape appropriatelyOwens Corning is an equal opportunity employer.
