About the Role:

MW Talent is partnering with a boutique law firm to identify an experienced Corporate Transactional Attorney with strong mergers and acquisitions experience.

This role is ideal for an attorney who enjoys working closely with clients, handling complex business transactions, and providing practical legal guidance throughout the full transaction process. The firm is looking to hire as soon as possible.

The position is full-time and in the office. The firm is open to candidates who are comfortable with approximately 1,500 to 1,600 billable hours annually. They may also consider an attorney seeking closer to 1,000 billable hours, depending on experience and fit.

What You Will Do:

• Assist with structuring mergers, acquisitions, purchases, sales, and other corporate transactions
• Draft, review, and negotiate purchase agreements, sale agreements, merger agreements, and related transaction documents
• Support senior attorneys and work with external advisors throughout each phase of the transaction process
• Assist with structuring partnerships and other corporate matters
• Advise clients on transaction strategy, due diligence, deal terms, and closing matters
• Communicate with clients and provide regular updates throughout the transaction process
• Support post-closing matters, including integration and follow-up needs
• Build and maintain strong client relationships

What We Are Looking For:

• Minimum of 5 years of corporate transactional legal experience required
• An ideal candidate will have 12 to 15 years of experience
• M&A experience required
• Law firm experience is a MUST
• Candidates should have more than general corporate experience and must have hands-on transactional and M&A work
• Experience with financial due diligence, transaction structuring, valuation methods, or financial modeling is strongly preferred
• Background in accounting or finance is a plus
• Strong legal research, writing, and communication skills
• Strong analytical skills and attention to detail
• Ability to manage multiple matters and work efficiently under deadlines
• Strong understanding of business strategy, market trends, and corporate transactions
• An active Georgia bar license is required
• Additional state bar licenses are a strong plus
• A top 80 law school background is a MUST
• A book of business is not required, but candidates with portable business will be considered

You are comfortable working on M&A matters, drafting and negotiating transaction documents, managing client communication, and supporting clients through each stage of a deal.
