Job Details

We are seeking a mid-level corporate attorney to join a collaborative transactional practice representing companies, investors, and business leaders through a wide range of corporate matters. This role offers substantial client interaction, exposure to sophisticated transactions, and the opportunity to serve as a trusted advisor throughout various stages of a company's growth and development.

Attorneys in this position work closely with entrepreneurial businesses, private investors, and management teams on strategic initiatives, financing transactions, and general corporate matters. The ideal candidate is commercially minded, proactive, and comfortable managing multiple priorities in a fast-paced environment.

Responsibilities

Advise clients on general corporate governance and business matters
Represent companies and investors in financing transactions
Assist with mergers, acquisitions, and other strategic transactions
Draft, review, and negotiate transaction documents and commercial agreements
Provide practical legal guidance to management teams and business stakeholders
Support clients through various stages of growth, operations, and exit transactions
Coordinate with colleagues across multiple practice areas to deliver comprehensive legal solutions

Qualifications

Prior experience handling sophisticated corporate transactions
Experience with one or more of the following: mergers and acquisitions, private equity transactions, venture financings, capital raising activities, or general corporate counseling
Ability to manage client relationships and transaction workflows effectively
Strong analytical and problem-solving abilities
Excellent written and verbal communication skills
Demonstrated ability to thrive in a collaborative and fast-moving environment

Requirements

J.D. from an accredited law school
Active bar admission in at least one U.S. jurisdiction
Approximately 4-6 years of relevant corporate transactional experience
Strong academic credentials
Exceptional drafting, negotiation, and interpersonal skills
Interest in working with innovative and growth-oriented businesses
