Position: Director, CIB & Research Compliance - ECM and M&A / US GBM&T Compliance

Purpose

The CIB & Research Compliance team provides day-to-day Compliance oversight, advice, training and monitoring for the CIB, Leveraged Finance, M&A, Equity Capital Markets (ECM), Debt Capital Markets (DCM), Government Finance, Global Loan Syndication (GLS), Securitization, Structured Credit, Mortgage Capital Markets (MCM), Commercial Real Estate Finance (CREF) and Equity Research businesses. The team also supports Central Compliance activities such as, but not limited to, the development of Compliance Policies & Procedures, build and maintenance of the Regulatory Library, conducting monitoring activities, performing regulatory horizon scanning and impact assessments, and completion of periodic Compliance Risk Assessments.

The purpose of this role is to serve as primary Compliance Advisory coverage for the ECM and M&A businesses. The role may also entail providing compliance support to other businesses under the coverage of the CIB & Research Compliance team, as well as supporting ad-hoc projects related to Compliance or business areas under coverage.

Accountabilities

• Lead and drive a customer focused culture throughout the team to deepen client relationships and to support the Bank in its customer focused strategy. Maintain active engagement with business leaders to influence 1st line business practices.
• Lead the provision of day-to-day and strategic guidance and advice to business areas under coverage. Topics include but may not be limited to applicable regulatory requirements and best practices across ECM and M&A business areas, business & personal conflicts of interest, cross border, registrations, equity research and supervision.
• Ensure comprehensive Policies and Procedures and monitoring activities designed to ensure compliance with regulatory requirements and industry best practices are in place.
• Oversee the monitoring and identification of regulatory developments, including new laws, rules, regulations and interpretations. Participate in industry groups and trade associations and work with colleagues across the US and international jurisdictions to drive a consistent and collaborative approach to compliance.
• Accountable for the investigative process related to possible instances of non-compliance and ensure escalation to the applicable areas for remediation and corrective actions.
• Work with Training Team and business stakeholders to develop training program which includes participation in the annual training needs assessment and delivery of routine and ad-hoc training.
• Lead initiatives and manage high impact special project work streams with a results-driven focus to deliver solutions.
• Provide an effective challenge of the quarterly/annual Compliance Risk Control Assessments and ensure that appropriate action plans are in place to mitigate risk to acceptable levels.
• Provide support for Compliance testing, Audits, Regulatory Exams and Inquiries concerning business areas under coverage as well as Compliance.
• Contribute to the development of Compliance related Management Information (MI) such as Key Risk Indicators (KRIs) and statistics for Compliance/Business engagement meetings and various oversight committees or forums.
• Work in close partnership with other groups at Scotiabank, including Business areas, Corporate Functions, Internal Controls and the broader Compliance team.
• Understand how the Bank's risk appetite and risk culture should be considered in day-to-day activities and decisions.
• Create an environment in which the team pursues effective and efficient operations of their respective areas in accordance with Scotiabank's Values and the Code of Conduct, while ensuring the adequacy, adherence to and effectiveness of day-to-day controls to meet obligations with respect to operational, compliance, AML/ATF/sanctions and conduct risk.

Dimensions

• Primary compliance advisory coverage for ECM and M&A business areas.
• Provide compliance support for other businesses or projects under the coverage of the broader CIB & Research Compliance team.

Education / Experience / Other Information

• Minimum of 10 years of Legal or Compliance experience supporting CIB, Capital Markets and Research in the US and international markets.
• Familiarity with applicable Federal and State banking and securities laws, including SEC and FINRA regulations governing public and private offerings of equity and debt securities as well as requirements related to Equity Research (e.g., SEC 10b-5, Rule 14e5, securities offering regulations (`33 Act), FINRA Rule 2241 and the Global Research Settlement & information barriers)), as well as Federal Reserve Bank Regulations relating to corporate lending activities.
• Experience operating and coordinating programs across large matrixed organizations. Ability to coordinate across multiple management levels, jurisdictions, business lines and support functions to drive results.
• Relevant compliance experience, including development of relevant policies and procedures development, provision of Compliance training, Compliance Risk Assessments, researching and responding to regulatory inquiries, etc.
• Sound judgment in identifying risks in order to proactively escalate to relevant senior management.
• Strong analytical and investigative skills and demonstrated ability to operate at a strategic level.
• Strong leadership skills and demonstrable experience and success in working in high-performance teams.
• Strong organizational, communication (oral and written) and interpersonal skills required, as well as a keen eye for detail.
• Superior knowledge of Microsoft applications (including Word, Excel and Power Point).
• Capable of simultaneously handling multiple tasks and meeting stringent deadlines.
• Self-motivated, excellent organizational and interpersonal skills required.
• College Degree required. Post graduate degree (JD or MBA) preferred.
• High level of integrity.
• Securities licenses, e.g., Series 7/79 preferred, but not required

Working Conditions

Work in a hybrid office-based environment; non-standard hours are a common occurrence. Limited domestic and internal travel may be required.
