Director, Legal Counsel - DAFgiving360

DAFgiving360 is an independent nonprofit organization created to increase charitable giving in the U.S. We offer a donor-advised fund program and related philanthropic tools and guidance that empower donors to incorporate charitable planning into their everyday lives and make a bigger difference in the world. Since our founding in 1999 as a 501(c)(3) public charity, DAFgiving360 donors have recommended over $50 billion in grants to 295,000 charities. DAFgiving360 has entered into a services agreement with Charles Schwab & Co., Inc. for administrative and other services, including human resources. This position will be an employee of Charles Schwab & Co., Inc. and will be subject to its policies and procedures but will report to and be accountable to DAFgiving360 for day-to-day activities.

The Director, Legal will be solely responsible for managing legal matters, corporate governance, and regulatory compliance for DAFgiving360. This role will be involved in business activities/decisions to ensure they are in accordance with applicable law and best practices. The position will lead and manage a small team of professionals responsible for contract management, charity due diligence, grant agreement and other corporate compliance related work. This director will lead the organization through regulatory changes.

What you are good at:

  • Monitoring and advising on changing rules, regulations and the regulatory environment and ensuring that employees are knowledgeable of compliance with pertinent standards.
  • Ensuring the Compliance Plan is within rules and regulations and supports the business when questions arise.
  • Recommending appropriate revisions to new or existing policies, procedures, and systems to reduce the frequency of future legal and compliance concerns.
  • Preparing and reviewing legal documents and agreements including vendor management and grant agreements.
  • Providing regulatory and legal advice on applicable federal and state rules and regulations, engaging outside and Charles Schwab & Co. legal counsel as appropriate.
  • Overseeing corporate governance for DAFgiving360, including ensuring compliance with board and committee charters/bylaws to include annual authority updates, conflict of interest policy, and supporting board and committee meetings.
  • Managing legal inquiries or litigation as needed.
  • Supporting the Risk team when necessary to ensure operational escalations or accommodations are compliant with law and/or policy.
  • Overseeing the whistleblower policy/procedures.
  • Effectively communicating legal matters to the audit committee and President.
  • Advising the President on potential risk related to legal and corporate compliance.

What you have

  • Ability to be a trusted partner that provides, manages, monitors, and applies practical, consistent, effective, and unbiased risk and compliance management and guidance that is grounded in a deep understanding of business goals and risks as well as the regulatory and industry environment.
  • Skill to develop actionable proposals and recommendations to senior management and the board in both written and verbal form and drive implementation of key legal risk and compliance initiatives.
  • Ability to work across multiple organizations to drive change and buy-in by working with and influencing key business partners as well as building effective working relationships.
  • Aptitude to successfully manage complex projects, maintaining accurate records of decisions, tracking, and following up on those decisions, and be able to move projects forward proactively and independently.

Minimum Qualifications:

  • Law degree required.
  • 10-15+ years of related work experience in legal, regulatory and/or compliance with significant management experience.
  • Deep knowledge of non-profit regulations and donor-advised fund experience a plus.
  • Deep knowledge of the legal, compliance, and regulatory aspects of the financial services industry. Understanding of registered investment advisors and of risk management concepts, structures, and processes.
  • Demonstrated leadership skills- sets and shares goals with elevated expectations, motivates performance, leads by example.
  • Well-developed influencing and collaboration skills.
  • Experience analyzing data and preparing solutions based on sound facts and findings.
  • Self-motivated, with strong attention to detail and ability to work independently and drive change.
  • Ability to work and lead multiple projects simultaneously while prioritizing based on risk/business needs.
