We're representing a premier legal advisory firm recognized for its expertise in guiding technology and life sciences companies, as well as the investors supporting them. This company provides high-quality legal services across various practice areas, including corporate law, mergers and acquisitions, and intellectual property. Their client base includes early-stage startups and established corporations, making them a key player in the venture capital ecosystem.
What You Will Do
Advise emerging growth companies on entity formation, corporate governance, and organizational structuring.
Represent startups and founders in seed, Series A, and later-stage venture capital financings.
Counsel venture capital and private equity clients on fund formation and portfolio investments.
Draft, review, and negotiate critical transaction documents such as term sheets and stock purchase agreements.
Support mergers and acquisitions involving emerging companies, ensuring compliance and strategic alignment.
Advise clients on equity compensation plans and employee benefits matters.
Collaborate with senior attorneys to deliver integrated legal solutions and manage client relationships.
Ideal Candidate Background
4 to 8 years of relevant legal experience, ideally at a top-tier law firm with a focus on emerging companies and venture capital.
Demonstrated experience advising startups and venture capital investors on financings and corporate transactions.
Strong drafting and negotiation skills across a broad range of venture and corporate documents.
Deep understanding of the venture capital ecosystem, including deal structures and investor dynamics.
Excellent communication skills, capable of translating complex legal concepts for clients.
Preferred
Experience leading transactions and interfacing directly with founders, CEOs, and boards.
Strong academic pedigree and the ability to operate autonomously in a fast-paced environment.
Compensation and Benefits
The base salary for this role ranges from $310K to $435K, commensurate with experience. This company offers a hybrid work schedule and a clear path for growth and partnership for high performers.
