What You Will Do

  • Lead the executive compensation workstream in high-stakes corporate transactions, ensuring comprehensive advisory support for boards, companies, and executives.
  • Manage diligence reviews, identifying liabilities and deal risks related to benefit plans and executive arrangements.
  • Collaborate with corporate, tax, and governance teams to draft and negotiate transaction agreement provisions concerning employee benefits and executive compensation.
  • Advise on equity award treatment in transactions, including cash-out, assumption, conversion, acceleration, and retention packages.
  • Structure and document executive employment agreements, severance arrangements, and equity incentive plans with precision.
  • Analyze and resolve complex tax issues related to Sections 409A, 280G, and 162m, ensuring compliance and strategic advantage for clients.

Ideal Candidate Background

  • Juris Doctor (JD) degree with 4–8 years of experience in executive compensation and benefits from a major law firm.
  • Proven track record of advising on executive compensation matters in complex corporate transactions.
  • Strong understanding of public company disclosure and experience with compensation committee counseling.
  • Familiarity with cross-border equity arrangements and their implications in corporate settings.

Preferred

  • Experience supporting M&A, private equity, spin-offs, IPOs, and restructuring matters related to executive compensation.
  • Demonstrated ability to lead teams and manage multiple projects simultaneously in a fast-paced environment.

Compensation and Benefits
