As a Fund Finance Associate, you'll advise clients on subscription credit facilities, NAV facilities, hybrid facilities, management company financings, and other complex lending structures. You'll collaborate with experienced attorneys across Corporate, Finance, and Mergers & Acquisitions practices while gaining meaningful responsibility, direct client interaction, and exposure to market-leading transactions.

WHAT YOU'LL DO

  • Represent financial institutions, private investment funds, and fund sponsors in sophisticated fund finance transactions.
  • Draft, review, and negotiate credit agreements, loan documentation, security agreements, and related financing documents.
  • Advise clients on subscription credit facilities, NAV facilities, hybrid facilities, and management company financing structures.
  • Structure and negotiate complex secured lending transactions from inception through closing.
  • Collaborate with attorneys across Corporate, Finance, Tax, and M&A practices on integrated transactions.
  • Manage multiple transactions simultaneously while maintaining exceptional client service.
  • Develop trusted client relationships and provide practical, business-focused legal advice.
  • Support related financial services and corporate transactional matters as needed.

WHAT MAKES YOU A GREAT FIT

  • Juris Doctor (J.D.) from an accredited U.S. law school.
  • 3-5 years of transactional legal experience.
  • Significant experience in fund finance, secured lending, banking, or financial services transactions.
  • Licensed in North Carolina or eligible for admission.
  • Experience drafting and negotiating sophisticated financing documents.
  • Strong analytical, drafting, negotiation, and client counseling skills.
  • Ability to independently manage multiple complex transactions.

Preferred

  • Graduate of a Top 50 U.S. law school.
  • Experience practicing at an Am Law 200 firm.
  • Previous work in a highly respected regional firm handling sophisticated transactional matters.
  • Experience representing banks, financial institutions, fund sponsors, or private investment funds.
  • Exposure to mergers and acquisitions or broader corporate finance transactions.
  • Excellent academic credentials and demonstrated commitment to transactional practice.
